Ground floor opportunity:
Private Placement; as announced in the new release of December 31, 2024 as part of the reverse takeover transaction with Leeward Capital Corp. (the “RTO”) we are proceeding with a private placement.
The private placement is not a public offering as such subscribers must meet certain requirements. Private Placement: The private placement will see us raise between CAD$500,000 and
CAD$1,000,000 million (the “Financing”). The Financing will proceed as a sale of Leeward Common Shares for $0.001 (post-Roll Back as discussed below at an effective price of one cent$0.01). The Financing will not be completed unless the RTO is simultaneously closed and the
Leeward Common Shares (including the shares issued through the Financing) are approved for listing on either the TSX Venture Exchange (“TSXV”) or the Canadian Securities Exchange (“CSE”).
The commitment for the private placement Financing does not become “hard” (i.e. the money is not released) unless and until the RTO is completed and the Leeward shares are listed on either
the TSXV or CSE. Therefore, you will not see the funds used (therefore the funds are not at risk) until the Leeward shares become liquid through a TSXV or CSE exchange listing. The Financing will see the funds used for corporate purposes.
In summary, the Financing will see: A raise of between $500,000 and $1,000,000 at a post-roll Back price of one cent ($0.01) (pre-roll Back price of $0.001); The Financing shares will not be issued and the funds not used unless they are
listed for trading on the TSXV or the CSE; The Financing shares will be subject to a four-month hold; If a Burton Growers shareholder subscribes for at least $5,000 of the Financing the Leeward shares received as part of the RTO will not be subject to the 6-month hold; and The Financing shares can be protected from capital gains tax by placing the same in your RRSP or TFSA.
Roll Back: In order to create a manageable Leeward common share float, immediately after the completion of the RTO and the Financing the Leeward shares will be rolled back on 10 for one
basis (the “Roll Back”). This is equal rollback on all Leeward shares, as such it does not change your percentage ownership.
